This Refund and Cancellation Policy describes how subscriptions and licenses purchased from Outcold Solutions LLC (“Outcold”) may be cancelled and the circumstances under which refunds may be available. This Policy is incorporated by reference into the Outcold Solutions Software License Agreement and applies to all purchases of Outcold’s Offerings.
Self-Service Subscriptions (Subscription Software)
If you have subscribed to Outcold’s self-service Subscription Software (currently $1.25 per vCPU per month, billed monthly via Stripe based on metered usage), the following terms apply:
Cancellation
You may cancel your Subscription Software subscription at any time through the Stripe Customer Portal, which is accessible from a link in your billing emails or by contacting us at support@outcoldsolutions.com. Cancellation takes effect at the end of the current monthly billing period and you may continue using the Subscription Software until such cancellation becomes effective. Cancellation does not relieve Customer of the obligation to pay Subscription Fees accrued prior to the effective date of cancellation.
Refunds
Subscription Fees are billed monthly in arrears based on your actual metered usage during the prior month. Because each invoice reflects usage that has already occurred, Subscription Fees are non-refundable, except where required by applicable consumer protection law.
If you believe you have been charged in error (for example, because of a billing system error or because you were charged after cancellation), please contact us at support@outcoldsolutions.com within 30 days of the charge and we will investigate and issue a refund where appropriate.
What Happens After Cancellation
After cancellation takes effect:
License Verification for the Subscription Software will be disabled or deactivated. The Outcold Software may become partially or fully non-operational because License Verification will no longer succeed.
You should remove the Outcold Software from your environment in accordance with Section 14 of the License Agreement.
We will retain certain account information for our records as described in our Privacy Policy.
You may resubscribe at any time, subject to our then-current pricing and terms.
Enterprise and Term Licenses (Licensed Software)
If you have purchased an annual or multi-year license under an Order with Outcold (Licensed Software, also referred to as our Business / Enterprise tier), the following terms apply:
Cancellation
Annual and multi-year licenses are non-cancellable for convenience during the term of the agreement. Customer is responsible for payment of all License Fees set forth in the applicable Order, including License Fees for future years of a multi-year contract. Cancellation rights for breach by Outcold are set forth in Section 14 of the License Agreement.
Refunds
License Fees paid for Licensed Software are non-refundable, except where:
Outcold materially breaches the License Agreement and fails to cure within 30 days of written notice, in which case the remedies set forth in Section 14 of the License Agreement apply; or
A refund is required under Outcold’s warranty obligations as set forth in Section 9 of the License Agreement; or
A pro-rata refund is provided in connection with an indemnification matter as set forth in Section 12 of the License Agreement; or
A refund is required by applicable law.

Trial and Evaluation Licenses
If you are using a Development Software, Developer License, Evaluation Software, Evaluation License, Free Software, or other trial license, no fees have been charged and no refund is applicable. Trial licenses automatically expire at the end of their term and require either a paid subscription or a new trial license to continue.
Disputed Charges
If you dispute a charge on your credit card or other payment method, please contact us first at support@outcoldsolutions.com so we can investigate and resolve the issue directly. Initiating a chargeback through your card issuer without first contacting us may result in suspension or termination of your account, and you may be responsible for any chargeback fees imposed on us.
Changes to This Policy
We may update this Policy from time to time. We will post any changes here and update the “Updated” date above. Material changes will be communicated through email or by notice on our website.
