OUTCOLD SOLUTIONS ACCEPTABLE USE POLICY

This Acceptable Use Policy (“AUP”) describes prohibited uses of Outcold Solutions LLC’s (“Outcold”) software products and services (the “Offerings”). This AUP is incorporated by reference into the Outcold Solutions Software License Agreement and applies to all customers and users of the Offerings, including users of the self-service Subscription Software, paid Licensed Software, and trial or evaluation licenses.

By using any of Outcold’s Offerings, you agree to comply with this AUP. Violations of this AUP may result in suspension or termination of your access to the Offerings, in accordance with Section 14 of the License Agreement.

Prohibited Uses

You may not use the Offerings to:

Illegal or Harmful Activity

  • Engage in any illegal, fraudulent, harmful, or deceptive activity
  • Violate any applicable law, regulation, or third-party right (including intellectual property rights)
  • Transmit, store, or process content that is unlawful, defamatory, harassing, threatening, or invasive of another’s privacy
  • Process or facilitate the processing of child sexual abuse material (CSAM) or any other content depicting the sexual abuse or exploitation of minors
  • Engage in activity that constitutes harassment, stalking, or threats of violence against any individual or group

Sanctions and Export Controls

  • Use the Offerings in violation of U.S. export control laws or sanctions, including those administered by the Office of Foreign Assets Control (OFAC)
  • Use the Offerings to facilitate transactions with individuals or entities on U.S. government denial lists (including the Specially Designated Nationals list)
  • Use the Offerings in or for the benefit of countries or regions subject to comprehensive U.S. sanctions
  • Use the Offerings for the development or deployment of weapons of mass destruction (nuclear, chemical, biological) or missile systems

Security and System Integrity

  • Attempt to gain unauthorized access to any Outcold systems, networks, or data, or to the systems, networks, or data of other Outcold customers
  • Probe, scan, or test the vulnerability of any Outcold system or network without prior written authorization (responsible vulnerability disclosures should be sent to security@outcoldsolutions.com)
  • Interfere with, disrupt, or impair the integrity or performance of the Offerings or the experience of other Outcold customers
  • Bypass, disable, or circumvent any security mechanism, license verification, or usage measurement of the Offerings
  • Use the Offerings to develop or deploy malware, ransomware, viruses, trojans, or other malicious code
  • Use the Offerings to facilitate denial-of-service attacks, distributed denial-of-service attacks, or similar disruptive activity

Misuse of the Offerings

  • Use the Offerings beyond the Licensed Capacity or scope of license set forth in the applicable Order or Subscription
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Offerings, except to the extent expressly permitted by applicable law
  • Resell, sublicense, distribute, or transfer the Offerings to any third party without prior written authorization
  • Misrepresent your identity or your relationship with Outcold
  • Provide false information when subscribing to or registering for the Offerings
  • Use the Offerings to compete with Outcold or to develop a product or service that competes with the Offerings
  • Use the Offerings in connection with any benchmarking, testing, or evaluation for purposes of public disclosure without prior written authorization

Abuse of Free or Trial Licenses

  • Create multiple accounts, identities, or organizations for the purpose of evading license limits or obtaining additional free, trial, or evaluation usage
  • Use trial or evaluation licenses for production purposes (other than such limited production-equivalent testing as is necessary to evaluate the Offerings)
  • Use Free Software or Development Software for revenue-generating or commercial purposes

Privacy and Data Protection

  • Use the Offerings to collect, store, or process personal data in violation of applicable privacy laws
  • Use the Offerings to surveil, track, or monitor individuals in violation of applicable laws
  • Use the Offerings in any manner inconsistent with the privacy policies of the data subjects whose data is being processed

Reporting Violations

If you become aware of any violation of this AUP, please report it to abuse@outcoldsolutions.com. Reports should include:

  • A description of the violation
  • The URL, IP address, or account associated with the violation (if known)
  • Any supporting evidence (logs, screenshots, etc.)
  • Your contact information (so we can follow up if needed)

We will investigate reports and take appropriate action, which may include suspending or terminating the account responsible for the violation.

Enforcement

Outcold reserves the right to investigate suspected violations of this AUP. If we determine, in our reasonable judgment, that a violation has occurred or is likely to occur, we may take any action we deem appropriate, including:

  • Issuing a warning and requesting that the conduct stop
  • Suspending access to the Offerings, with or without prior notice, pending investigation or correction of the violation
  • Terminating the license to the Offerings without prior notice, in accordance with Section 14 of the License Agreement
  • Cooperating with law enforcement and disclosing information about the customer or user as permitted or required by law
  • Pursuing other remedies available under the License Agreement or applicable law

We will use reasonable efforts to provide notice of suspension or termination but are not required to do so before taking action when we believe immediate action is necessary to protect Outcold, its other customers, or third parties.

Updates to This Policy

We may update this AUP from time to time to address new types of misuse or to clarify existing prohibitions. We will post any changes here and update the “Updated” date above. Continued use of the Offerings following posting of an updated AUP constitutes acceptance of the updated AUP.
